Terms & Conditions

This document constitutes a legal agreement between the individual or organization (“Customer” or “you”) accepting these Terms of Service (“Terms”) and Nexjeux (“us,” or “we”). By accepting these Terms, signing an Order, or utilizing the Services, you affirm that you are of legal age and possess the authority to bind the Customer to:

  • The Order
  • These Terms
  • The Service Descriptions available on Nexjeux's website
  • The country-specific Regional Supplement (if applicable)
  • The Professional Services Terms and Conditions

Collectively referred to as the “Agreement.”

1. ACCESS AND USE OF THE SERVICES

1.1 Right to Use Services

You agree to employ the Services in adherence to the Use Levels posted on our website, your Order, or the Service Descriptions. Use of our Services is restricted to the terms outlined in these Terms. You acknowledge our Privacy Policy, which is incorporated by reference.

1.2 Limitations on Use

You agree not to modify, reverse engineer, or knowingly use the Services in a disruptive manner. Prohibited actions include sending unauthorized material, marketing, reselling, violating laws, sending unauthorized advertising, or engaging in fraudulent activities.

1.3 Changes to Services

We reserve the right to enhance, upgrade, improve, or modify features of our Services. Material changes will be communicated in advance.

1.4 Proprietary Rights and Nexjeux Marks

You acknowledge that Nexjeux or its licensors retain all proprietary rights in the Services and associated intellectual property, including the “Nexjeux Marks.” Usage of these marks must comply with our Branding Guidelines.

2. ORDERS, FEES, AND PAYMENT

2.1 Orders

Services can be ordered through our official ordering processes. Orders are effective upon submission or as specified in the Order. Acceptance is subject to verification and credit approval.

2.2 Fees and Payment

You agree to pay all applicable fees as specified. Payments are non-refundable unless stated otherwise. You are also responsible for fees from third-party providers.

2.3 Sales, Promotional Offers, Coupons, and Pricing

Promotional offers are temporary. We may modify or discontinue them at our discretion. Renewal and termination terms are governed by this Agreement.

2.4 Disputes; Delinquent Accounts

Fee disputes must be reported within 15 days. Unpaid fees may result in service suspension or termination. We may charge reasonable collection costs for delinquent payments.

2.5 Taxes and Withholding

You are responsible for all applicable taxes and fees. We may suspend or terminate services for incorrect payment information.

3. TERM AND TERMINATION

3.1 Term

The Initial and Renewal Terms are defined in your Order. Termination requires 30 days’ prior notice. Terminating one Service doesn’t affect others.

3.2 Termination for Cause

Either party may terminate for material breach or insolvency. We may terminate immediately for violations specified in Sections 1.2, 4.1, 4.3, or 5.

3.3 Effect of Termination

Upon termination, your account may downgrade to a limited version for content retrieval. Prior claims remain unaffected.

3.4 Survival

Provisions such as Sections 2, 3.3, 4, 7, 8, 9.5, 9.10, and 9.14 survive termination.

4. YOUR CONTENT AND ACCOUNTS

4.1 Your Content

You retain all rights to your content. We may process it to provide services. You warrant the legal right to share this content and that it doesn’t violate third-party rights.

4.2 Your Privacy and Security

We maintain a privacy and security program. Details are available in our Trust & Privacy Center.

4.3 Your Accounts

You are responsible for your accounts and consent collection. We may suspend your access for security threats or unauthorized use. Notify us of breaches immediately.

5. COMPLIANCE WITH LAWS

Each party agrees to comply with all applicable laws. We may terminate this Agreement immediately for noncompliance.
